ALI HUB MEMBERSHIP AGREEMENT, RELEASE, AND ARBITRATION TERMS

1800 Jonesboro LLC d/b/a Ali Hub ("Ali Hub")

This Membership Agreement and Release ("Agreement") is entered into by the undersigned member ("Member") and 1800 Jonesboro LLC, a Georgia limited liability company, doing business as Ali Hub ("Ali Hub"). By signing or electronically accepting this Agreement, Member acknowledges and agrees to all terms below.

1. Facility Description and Self-Service Operations

Member understands Ali Hub is a coworking and executive office location providing workspace, meeting areas, and related amenities. Member acknowledges Ali Hub is a self-service facility and may not have staff physically present on site at all times. Member is responsible for following all posted rules, policies, safety notices, and instructions, and for using the premises and amenities in a safe, respectful, and lawful manner.

2. Assumption of Risk

Member understands and voluntarily assumes all risks associated with entering and using a shared coworking facility, including risks arising from other members and guests, building conditions, equipment, access systems, parking areas, and common areas, whether known or unknown, foreseeable or unforeseeable. Member assumes full responsibility for Member’s conduct and for any guests accompanied or permitted by Member.

3. Release and Waiver of Claims (Ordinary Negligence)

To the fullest extent permitted by Georgia law, Member releases and forever discharges Ali Hub and 1800 Jonesboro LLC, and each of their owners, managers, agents, contractors, and affiliates (collectively, the "Released Parties"), from any and all claims, demands, causes of action, damages, losses, costs, or expenses of any kind arising out of or related to Member’s use of the premises, services, or amenities, including claims based on the ordinary negligence of any Released Party.

Nothing in this Agreement releases claims arising from gross negligence, willful or wanton misconduct, or intentional wrongdoing to the extent such release is not permitted by applicable law.

4. No Security, No Monitoring, and Personal Property

Member acknowledges Ali Hub does not provide security services and is not responsible for monitoring the premises, members, guests, or personal property. Member is solely responsible for safeguarding Member’s property and information. Member assumes all risk of loss, theft, damage, or unauthorized access to personal property, equipment, vehicles, and data while on or near the premises.

5. Guest Responsibility and Indemnification

If Member brings, invites, permits, or otherwise allows any guest, visitor, client, contractor, or invitee (a "Guest") onto the premises, Member is fully responsible for that Guest at all times. Member is responsible for ensuring each Guest understands and complies with all Ali Hub rules, policies, posted notices, and safety requirements, including any amenity-specific rules.

Member is liable for any and all acts or omissions of Member’s Guests, including misconduct, violations of law or policy, damage to property, theft, nuisance, unauthorized access, personal injury, or any other loss or claim arising out of or related to a Guest’s presence or conduct.

Member agrees to indemnify, defend, and hold harmless the Released Parties from and against any third-party claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to any Guest’s actions, omissions, injury, or presence on the premises, whether caused in whole or in part by the Guest.

6. Sauna Addendum (Coed Sauna)

If Member uses the sauna or sauna area, Member acknowledges the sauna is a coed facility. Member voluntarily chooses to enter and use the sauna and assumes all risks associated with sauna use, including dizziness, fainting, dehydration, heat illness, burns, aggravation of pre-existing conditions, and other serious injury or death.

Member represents that Member is physically able to use a sauna and has consulted a physician if Member has any medical conditions or concerns, including pregnancy, cardiovascular conditions, high or low blood pressure, respiratory conditions, or use of any medications that may affect heat tolerance. Member agrees not to use the sauna while under the influence of alcohol or drugs.

Member acknowledges Ali Hub may not have staff on site to supervise sauna use and Member is responsible for personal safety, appropriate conduct, and compliance with posted rules. To the fullest extent permitted by Georgia law, Member releases the Released Parties from claims arising out of or related to sauna use, including claims based on ordinary negligence, and agrees that all disputes related to sauna use are subject to the arbitration clause below.

7. Dispute Resolution, Mandatory Arbitration, and Class Action Waiver

Member and Ali Hub agree that any dispute, claim, or controversy arising out of or relating to this Agreement, Member’s membership, or Member’s use of the premises or amenities shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration shall take place in the State of Georgia in the county where the facility is located unless the parties agree otherwise, and Georgia law shall govern, except where federal law (including the Federal Arbitration Act) controls.

Member understands and agrees that arbitration replaces the right to go to court, including the right to a jury trial, and that the arbitrator’s decision is final and binding except as provided by law.

Member and Ali Hub agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may award relief only on an individual basis.

Fees and costs will be allocated in accordance with the applicable AAA rules and applicable law. Ali Hub will not require Member to pay arbitration filing fees or arbitrator fees in an amount that would be prohibitive compared to court costs; Ali Hub may advance or cover such fees where required by law or where necessary to ensure the arbitration provision is enforceable.

Notwithstanding the foregoing, either party may seek temporary injunctive relief in a court of competent jurisdiction in Georgia solely to preserve the status quo or prevent irreparable harm pending completion of arbitration.

8. Media Release and Likeness (Optional Unless Member Opts Out)

Member grants Ali Hub the right to photograph, record, or otherwise capture Member’s likeness, voice, and name while on the premises and to use such materials for legitimate business purposes, including marketing, advertising, and social media, without compensation, provided such use is not knowingly defamatory or misleading.

If Member does not wish to be included in marketing materials, Member may opt out by providing written notice to Ali Hub at or before membership activation. Ali Hub will make reasonable efforts to honor opt-out requests; however, incidental capture in the background may occur.

9. Rules, Policies, and House Standards Incorporated by Reference

Member agrees to comply with all facility rules, policies, and posted notices (including any sauna rules, guest policies, access policies, and conduct standards), as may be updated from time to time (collectively, the "Rules"). The Rules are incorporated into this Agreement by reference as if fully set forth herein. Continued use of the facility after notice of updated Rules constitutes acceptance of the updated Rules. If Member does not agree to updated Rules, Member’s remedy is to discontinue use of the facility and request cancellation pursuant to Ali Hub’s cancellation terms.

10. Minors and Guest Age Restrictions

Unless Ali Hub provides written permission in advance, no person under the age of eighteen (18) may enter or use the coworking areas, offices, conference rooms, or sauna. If Ali Hub authorizes entry by a minor, the minor must be accompanied and supervised at all times by Member, and the minor’s parent or legal guardian must sign any required waivers and acknowledgments before entry. Member remains fully responsible for the minor and for any resulting claims, injuries, or damages.

11. Insurance Disclaimer

Ali Hub does not provide insurance covering Member, Member’s business, Member’s property, or Member’s Guests. Member is advised to maintain appropriate insurance, which may include general liability coverage, professional liability (if applicable), and property insurance for Member’s equipment and personal property.

12. Privacy Notice and Recording in Common Areas

Member acknowledges that Ali Hub may use security measures such as access controls and cameras in common areas where permitted by law. Cameras are not intended for constant monitoring and may not be actively observed. Member consents to being recorded by such security measures in common areas. Ali Hub does not promise recording coverage, retention, or availability, and recordings, if any, may be used for lawful business purposes including safety, security, and dispute resolution.

13. Electronic Acceptance, Clickwrap Consent, and Counterparts

Member agrees that checking a box, clicking an "I Agree" button, typing Member’s name, or otherwise indicating acceptance of this Agreement electronically constitutes Member’s valid electronic signature and assent. Member agrees this Agreement may be executed and stored electronically and in counterparts, each of which is deemed an original and together constitute one agreement. Member further agrees that electronic records of acceptance may be used as evidence of Member’s agreement.

14. Severability and Entire Agreement

If any portion of this Agreement is found unenforceable, the remaining portions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior discussions and understandings, whether oral or written, relating to the same.

15. Acknowledgment and Voluntary Signature

Member acknowledges Member has read this Agreement, understands it, understands Member is giving up important rights (including the right to sue in court and the right to a jury trial), and accepts it voluntarily.
